Advising a subsidiary of GEM Invest investment company on the acquisition of Modi LLC, managing the Modi chain of home, stationery and hobby goods stores, including legal assistance with obtaining approval for the transaction from the regulatory authorities.

Advised Kuzbassenergo JSC on the sale of 98,36% shares in its subsidiary NPO ELSIB PJSC, a manufacturer of electric generators and motors for the power generation industry.

Providing legal support to the concessionaire, VSM Two Capitals LLC, and its stakeholder, MC VSM Two Capitals JSC, in connection with the Moscow-St. Petersburg high-speed railway construction project. We advised on the preparation and amendment of the concession agreement, the development of the EPC contract and the agreement governing the design of the concession project, as well as on the financial close of the project.

Advised a major industrial company on analysing potential business models for cryptocurrency mining and mining infrastructure operator services, developing a comprehensive set of internal regulations to ensure compliance in cryptocurrency mining and mining infrastructure operations, and adapting contract templates to current legal requirements in this field. As part of the project, the ALUMNI Partners team also developed standard contracts for cryptocurrency sales and provided comprehensive advice on tax law, advertising regulations, energy legislation, AML/CFT compliance, and requirements for compliance officer candidates.
