ALUMNI Partners acted as a legal advisor to VimpelCom PJSC on the acquisition of a 44% stake in the authorized capital of Voca-Tech LLC, a leading Russian developer of speech analytics solutions and monitoring of employee interaction with customers. The company was previously invested in by the venture fund Hive, also owned by beeline, which retains a 20% stake. Thus, the transaction resulted in the total ownership in the project reaching 64%.

ALUMNI Partners' teams in Russia and Kazakhstan provided comprehensive legal support throughout the transaction, including conducting due diligence of the Group’s companies in Russia and Kazakhstan, transaction structuring and negotiating transaction documentation. We also advised VimpelCom on the possible restructuring of its business, considering the cross-border nature of the Voca-Tech Group.

Voca-Tech LLC is the developer of an innovative solution based on an audio badge - a wearable device that records the dialogue between an employee and a client - as well as software including automatic speech recognition and an analytical platform with a flexible system of data presentation and visualization.

The increased ownership stake in the project will allow beeline to strengthen its position in the speech analytics market, integrate voice analytics capabilities with beeline's video surveillance and video analytics systems, develop AI tools and adjust its joint product offering to customers.
