ALUMNI Partners Advised Vertical Investments on the Acquisition of Shares in PJSC Softline

ALUMNI Partners acted as legal advisor to Vertical Investments, a subsidiary of VEB.RF managed by Sk Capital, in connection with its RUB 5 billion investment in the Softline group. As a result of the transaction, Vertical Investments acquired over 12.5% of shares in PJSC Softline (SOFT), becoming the company’s largest minority shareholder.

According to analysts quoted in the media, this transaction was among the largest private equity deals in Russia in 2025. The investment will enable Softline to accelerate the group's development, including the implementation of its strategy to expand into international markets in partner countries.

ALUMNI Partners provided comprehensive legal support for the transaction, including conducting due diligence, drafting transactional documentation, participating in negotiations, assisting with the signing, and advising on various other aspects of the deal.
